1. Acceptance of Terms

By accessing or using Zelvi ("the Platform"), operated by Zelvi ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Zelvi.

2. Eligibility

  • You must be at least 13 years old (or 16 in the EEA) to create an account.
  • Users under 18 must have parental or guardian consent.
  • Tutors must be at least 18 years old.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.

3. Platform Description

Zelvi is an online marketplace that connects students with tutors for educational services, supplemented by AI-powered study tools. We provide the technology platform; tutors are independent service providers, not employees of Zelvi.

The AI study tools (flashcard generation, quiz creation, mind maps, study guides) are provided as supplementary learning aids and do not constitute professional academic advice.

4. Student Terms

4.1 Booking and Payment

  • Lesson fees are set by individual tutors and displayed before booking.
  • Payment is processed securely via Stripe at the time of booking.
  • All prices are displayed in the currency shown; applicable taxes may apply.

4.2 Cancellation Policy

  • Free cancellation up to 24 hours before a scheduled lesson.
  • Cancellations within 24 hours may be subject to charges at the tutor's discretion.
  • No-shows without cancellation forfeit the lesson fee.

4.3 Refund Policy

  • If a tutor fails to attend, you receive a full refund or free rescheduling.
  • Dissatisfaction with a lesson can be raised within 48 hours for review.
  • We offer a match guarantee — if unsatisfied with your first tutor, we'll match you with another at no extra cost.

4.4 AI Study Tools

  • Free AI tools are subject to usage limits that may change.
  • AI-generated content is for study purposes only and may contain errors.
  • You retain ownership of content you upload; we process it only to generate study materials for you.

5. Tutor Terms

5.1 Independent Contractor Status

Tutors on Zelvi are independent contractors, not employees. Tutors are responsible for their own taxes, qualifications, and compliance with local laws regarding tutoring services.

5.2 Commission Structure

  • Own students (referred to Zelvi): 8% platform fee.
  • Organic marketplace students: 18% platform fee.
  • Commission rates may be updated with 30 days' prior notice.

5.3 Payouts

  • Payouts are processed via Stripe Connect to your linked bank account.
  • Standard payout schedule applies as configured in your Stripe dashboard.
  • Tutors are responsible for reporting income and paying applicable taxes.

5.4 Tutor Responsibilities

  • Provide accurate qualifications and experience information.
  • Attend scheduled lessons on time or cancel with adequate notice.
  • Maintain professional conduct with all students.
  • Comply with applicable laws regarding working with minors (if applicable).
  • Do not share personal contact information to bypass the platform (for organic students).

6. Prohibited Conduct

You agree not to:

  • Use the platform for any unlawful purpose
  • Impersonate another person or misrepresent qualifications
  • Harass, abuse, or threaten other users
  • Share inappropriate, offensive, or illegal content
  • Attempt to circumvent platform fees for marketplace-matched students
  • Use automated systems to scrape or access the platform
  • Upload malware or attempt to compromise platform security
  • Use AI study tools for academic dishonesty (e.g., submitting generated content as original work for graded assessments)
  • Violate any applicable local, national, or international law

7. Intellectual Property

  • The Zelvi platform, branding, and proprietary technology are owned by Zelvi.
  • Users retain ownership of content they create or upload.
  • By uploading content, you grant Zelvi a limited license to process it for providing AI study tools.
  • Tutors retain ownership of their teaching materials and methodologies.
  • AI-generated study materials (flashcards, quizzes, etc.) created from your content belong to you.

8. Disclaimers

  • Zelvi is a marketplace platform. We do not guarantee specific educational outcomes.
  • AI-generated study materials are supplementary aids and may contain inaccuracies.
  • We do not endorse or guarantee the qualifications of any specific tutor beyond our verification process.
  • The platform is provided "as is" without warranties of any kind, express or implied.
  • Tutor availability, pricing, and quality may vary.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Zelvi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangibles, resulting from your use of or inability to use the platform. Our total liability for any claims arising from these Terms shall not exceed the amount you paid to Zelvi in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Dispute Resolution

  • Disputes between students and tutors should first be raised through our support system.
  • We will attempt to mediate disputes in good faith.
  • If mediation fails, disputes shall be resolved through binding arbitration, except where prohibited by law.
  • EU/UK consumers retain their right to bring claims in their local courts.
  • Nothing in these Terms affects your statutory rights as a consumer.

11. Account Termination

  • You may delete your account at any time through settings.
  • We may suspend or terminate accounts that violate these Terms.
  • Upon termination, pending payouts will be processed per normal schedule.
  • Provisions that by their nature should survive termination will survive (e.g., intellectual property, limitation of liability).

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you may terminate your account.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Zelvi operates, without regard to conflict of law principles. For EU/UK consumers, mandatory consumer protection laws of your country of residence apply where they provide greater protection.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
